CONTRACTOR AGREEMENT.

1. Definitions

“PSIP” is the Performance Structural Integrity Protocol. “Certification” is the credential PSSG issues to a Contractor who passes the PSIP exam and maintains an account in good standing. “Marks” are the PSIP name, logos, and seal. “Directory” is the contractor listing on psipprotocol.com. “Leads” are homeowner or buyer inquiries PSSG routes to Contractor. “PSIP Certificate” is the certificate PSSG issues, in Contractor's legal entity name, for a job whose documented record is complete under the protocol. It carries Contractor's attestation, and Contractor delivers it to the property owner.

2. Grant of Certification and License

Subject to this Agreement and to fees being current, PSSG grants Contractor a limited, revocable, non-exclusive, non-transferable license to describe itself as PSIP-certified and to display the Marks and the certification badge, only while Certification is active and in good standing.

PSSG issues a PSIP Certificate only for a job Contractor documented under the protocol. Contractor may not represent a job as PSIP certified unless PSSG issued its certificate.

The license ends automatically if Certification lapses, is suspended, or is revoked. On termination, Contractor must stop all use of the Marks and remove certification claims from its materials within ten days.

The seal is PSIP property, licensed to you only while certification is current, only on certified work, never altered, and never called a registered mark. The license ends the day certification ends.

3. What Certification Is Not

PSIP certifies that you document your work. It does not certify your concrete, and it does not rank your jobs.

Licensing, codes and permits are yours. PSIP never checks, verifies or manages your license, and no PSIP page says you are licensed.

The homeowner contracts with you, never with PSIP.

Certification is a documentation credential. It is not a warranty, guarantee, or insurance of Contractor's work; not engineering or design services; and not a government license or code approval. PSSG does not supervise, direct, inspect, or perform Contractor's concrete work, and is not a party to any contract between Contractor and Contractor's customer. Contractor is solely responsible for its own work, methods, safety, code compliance, licensing, and customer relationships.

3A. Where and Who PSIP Certifies

Where PSIP certifies. PSIP certifies work in cleared states only, listed on psipprotocol.com. No PSIP certificate issues for a pour whose job address is outside a cleared state, and every certificate carries your attestation naming the job's state. This is the statement you initialed at signup.

Who PSIP certifies. PSIP certifies registered businesses only, and every certificate is issued in your legal entity name. A business registered in a state that is not cleared is not certified, even for work in a cleared state. PSIP certifies a business only on a trade side it already works, concrete or pool, as you confirmed at registration. You state your legal entity name at registration. PSSG issues the certificate in the name you state, without checking it, and you are responsible for its accuracy.

4. Contractor Obligations

• Operate each PSIP-certified project in conformance with the protocol and applicable codes.
• Maintain all licenses and registrations required for its work.
• Provide accurate information to PSSG and to customers, and not misrepresent its certification status or scope.
• Maintain the closeout documentation the protocol requires and deliver the PSIP Certificate to the property owner once it issues.
• Respond to PSSG inquiries reasonably necessary to maintain the integrity of the standard.

Insurance

Contractor is encouraged to maintain general liability insurance appropriate to the work it performs. PSSG may request a certificate of insurance from Contractor at any time. PSSG reserves the right, upon written notice, to require Contractor to maintain minimum coverage levels and to name PSSG as an additional insured, and to make current proof of insurance a condition of continued certification, directory listing, enrollment, or renewal at a future date. During the Charter Class and initial enrollment period, proof of insurance is requested but not required.

4A. Protocol Versions

PSSG publishes the protocol, including its documentation stages, with a version date. PSSG may change the protocol by publishing the new version and its effective date at least 30 days before it applies. A change applies only to work captured on or after its effective date.

Each record is assessed against the version of the protocol in force on the date each stage was captured.

The stages are the minimum a record must hold. Contractor may add photographs and notes at any stage. Notes are recorded as Contractor's own statement.

4B. Seats

Certification is a flat annual fee, and your first app seat is included. Each added seat is billed monthly at the published seat price. A seat belongs to one named person, not a login. Every seat holder passes the PSIP exam himself, on his own email, before he records a pour, and nobody records under another person's seat. His name goes on the certificate and the record of every pour he records, alongside your company's legal name. When he leaves, put a new person through the exam on that seat or cancel it. A seat bills until you cancel it. Added seats are optional, and certification never requires one.

5. Leads and Customer Data

When PSSG routes a Lead, Contractor may use the Lead's information only to contact and serve that prospective customer. Contractor may not sell, rent, or share Lead information, or use it for unrelated marketing.

Contractor will handle Lead information in compliance with applicable privacy and communication laws, including obtaining any consent required before calling or texting the Lead, and honoring opt-out requests.

Contractor is an independent contractor, not an agent, partner, or employee of PSSG. Nothing here creates a joint venture.

6. Fees

Fees, the Charter Class rate, renewals, and refunds are governed by the PSIP Billing and Refund Policy, incorporated by reference. Certification must be current for the license in Section 2 to remain in effect.

The first 25 contractors on each side, Concrete and Aquatic, to pay after passing hold the Charter rate of $197 a year. Members 26 to 525 on each side hold $499 a year. Your rate stays yours while your certification stays unbroken. If a renewal charge fails, you keep the rate only if it clears within thirty days after your anniversary. Past that, or after a refund, a cancellation or a revocation, the rate is gone for good. A lapse does not cost you your certificate number. After member 525 on a side, new members pay the published rate, which may change year to year.

Money never buys position. No payment moves you up the rotation, buys extra rotation slots, or changes the lookup or the record page. There is no promise of equal lead counts. PSSG makes no promise about leads, sales or income.

7. Suspension and Revocation

Grounds for revocation: claiming certification you do not hold or after it lapsed; altering, forging or reissuing a certificate or record; using the seal on work PSIP never recorded; recording a pour you did not perform, or another's work as yours; letting anyone record under a seat but the certified person it belongs to, or sharing a seat's login; saying or implying PSIP licensed, insured, approved or guaranteed you, or that PSIP is a party to the contract.

Any other breach of this Agreement is also a ground.

Every suspension and revocation gets due process, forgery included. PSIP tells you in writing and states the ground. For most grounds you get 10 days to fix it before review. For forgery, a fake certificate or a fake seal, certification is suspended the day PSIP gives written notice, while it is reviewed. A review runs 30 days, with one extension if PSIP gives the reason in writing, and never more than 60 days; past 60 days you are restored in full, automatically. While suspended, your record page reads not currently certified and nothing more, the seal license stops, room billing pauses and your rotation place is held. A review ends in revocation, or in full restoration with no mark on your page. Revocation carries no refund, and the record page reads not currently certified.

Non payment is not a ground for suspension or revocation. A renewal charge that does not clear lapses your certification on your anniversary, as the Billing and Refund Policy states, and a payment that clears within thirty days reinstates the same certificate number and the same anniversary.

Revocation is permanent, and a revoked contractor can never certify with PSIP again.

Today, review decisions rest with PSSG, and each one is logged by name and date. PSSG reserves the right to seat a standards council.

7A. Complaints

A complaint against a PSIP certificate may be filed within five years of the day it issued, and a revocation on a complaint reaches back that far. A fraud or a false certificate has no time limit. The record never comes down: photos and records are kept for the life of the record.

8. Intellectual Property

PSSG owns the Marks, the protocol, the book Building on Solid Ground, training materials, and all related content. Contractor receives only the limited license in Section 2 and acquires no ownership. Contractor will not register or contest the Marks.

8A. Your Content and the PSIP Record

Everything you capture in the PSIP app or upload to psipprotocol.com, including photos, notes, documents, logos, bios and license photos ("Your Content"), is stored on PSSG's servers. You keep ownership of Your Content. From the moment you capture or upload it, you grant PSSG a worldwide, perpetual, irrevocable, royalty free, non exclusive license, which PSSG may transfer and sublicense, to store, copy, display, publish, adapt and make derivative works from Your Content for any lawful purpose, including building and licensing aggregated and anonymized data sets. This is a license, not a transfer of ownership, and it survives the end of this Agreement and of your certification. PSSG owns each PSIP certificate, each PSIP record as PSSG compiles it, the PSIP registry, and every aggregated or anonymized data set PSSG builds. You confirm you have the right to grant this license, including the permission of anyone who appears in Your Content. Photos of a homeowner's job are never shown publicly, and no aggregated or anonymized data set identifies a homeowner or a job address.

9. Disclaimer and Limitation of Liability

The certification, Directory, and materials are provided on an as-is basis without warranties of any kind. To the fullest extent permitted by law, PSSG will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits. PSSG's total liability under this Agreement will not exceed the fees Contractor paid to PSSG in the twelve months before the claim.

10. Indemnification

Contractor will defend, indemnify, and hold harmless PSSG and its officers, directors, and agents from any claim, damage, loss, or expense, including reasonable attorney fees, arising from Contractor's work, the PSIP Certificates issued for Contractor's jobs, Contractor's use of the Marks or Leads, Contractor's misrepresentation of certification status, or Contractor's breach of this Agreement. This includes claims by a customer or third party that Contractor's concrete work failed or was defective.

11. Confidentiality

Each party will protect the other's non-public business information disclosed under this Agreement and use it only to perform under this Agreement.

12. Term and Termination

This Agreement begins on the Effective Date and continues while Certification is active. Either party may terminate as provided here or in the Billing and Refund Policy. Sections on what certification is not, IP, Your Content and the PSIP Record, disclaimers, limitation of liability, indemnification, and confidentiality survive termination.

12A. Changes to this Agreement

PSSG may change this Agreement by publishing a new version on this page with its version date. By accepting this Agreement, you agree that continuing to use PSIP requires accepting each new version. PSSG sends you a new version the day it publishes, and the app shows it to you at your next sign in. You have 7 days from the day it is sent to accept it; after that, the app asks you to accept it before you can do anything else. A new version applies from the day you accept it, never to work recorded before. No new version takes away a rate this Agreement says you keep. If you do not want a new version, you may cancel under the Billing and Refund Policy. Renewal requires accepting the current version. PSSG stores the version you accepted and the date you accepted it.

13. Governing Law and Disputes

This Agreement is governed by Tennessee law, without regard to conflict-of-law rules. Venue is the state or federal courts located in Robertson County, Tennessee. The binding arbitration and class action waiver provisions of the PSIP Terms of Service apply to disputes under this Agreement and are incorporated by reference.

14. Entire Agreement

This Agreement, with the Billing and Refund Policy, Privacy Policy, and Terms of Service, is the entire agreement between the parties on this subject and supersedes prior understandings. If any provision is unenforceable, the rest remains in effect.

15. Acceptance

By accepting at checkout or signing below, Contractor agrees to this Agreement.
