CONTRACTOR AGREEMENT.

1. Definitions

“PSIP” is the Performance Structural Integrity Protocol. “Certification” is the credential PSSG issues to a Contractor who passes the PSIP exam and maintains an account in good standing. “Marks” are the PSIP name, logos, and seal. “Directory” is the contractor listing on psipprotocol.com. “Leads” are homeowner or buyer inquiries PSSG routes to Contractor. “PSIP Certificate” is the signed workmanship document Contractor issues on a completed project.

2. Grant of Certification and License

Subject to this Agreement and to fees being current, PSSG grants Contractor a limited, revocable, non-exclusive, non-transferable license to describe itself as PSIP-certified and to display the Marks and the certification badge, only while Certification is active and in good standing.

Contractor may issue PSIP Certificates only for projects Contractor performs in conformance with the protocol. Contractor may not issue a PSIP Certificate for work that does not meet the protocol, or for work performed by a non-certified party.

The license ends automatically if Certification lapses, is suspended, or is revoked. On termination, Contractor must stop all use of the Marks and remove certification claims from its materials within ten days.

3. What Certification Is Not

Certification is a documentation and scoring credential. It is not a warranty, guarantee, or insurance of Contractor's work; not engineering or design services; and not a government license or code approval. PSSG does not supervise, direct, inspect, or perform Contractor's concrete work, and is not a party to any contract between Contractor and Contractor's customer. Contractor is solely responsible for its own work, methods, safety, code compliance, licensing, and customer relationships.

4. Contractor Obligations

• Operate each PSIP-certified project in conformance with the protocol and applicable codes.
• Maintain all licenses and registrations required for its work.
• Provide accurate information to PSSG and to customers, and not misrepresent its certification status, scope, or results.
• Maintain the closeout documentation the protocol requires and deliver the PSIP Certificate to the customer at completion.
• Respond to PSSG inquiries reasonably necessary to maintain the integrity of the standard.

Insurance

Contractor is encouraged to maintain general liability insurance appropriate to the work it performs. PSSG may request a certificate of insurance from Contractor at any time. PSSG reserves the right, upon written notice, to require Contractor to maintain minimum coverage levels and to name PSSG as an additional insured, and to make current proof of insurance a condition of continued certification, directory listing, enrollment, or renewal at a future date. During the Charter Class and initial enrollment period, proof of insurance is requested but not required.

5. Leads and Customer Data

When PSSG routes a Lead, Contractor may use the Lead's information only to contact and serve that prospective customer. Contractor may not sell, rent, or share Lead information, or use it for unrelated marketing.

Contractor will handle Lead information in compliance with applicable privacy and communication laws, including obtaining any consent required before calling or texting the Lead, and honoring opt-out requests.

Contractor is an independent contractor, not an agent, partner, or employee of PSSG. Nothing here creates a joint venture.

6. Fees

Fees, the Charter Class rate, renewals, and refunds are governed by the PSIP Billing and Refund Policy, incorporated by reference. Certification and any directory tier must be current for the license in Section 2 to remain in effect.

7. Suspension and Revocation

PSSG may suspend or revoke Certification and remove a Directory listing for breach of this Agreement, misrepresentation of certification status, issuing a PSIP Certificate for non-conforming work, non-payment, or conduct that threatens the integrity of the standard. Except for fraud, the issuance of false certificates, or non-payment, each of which may result in immediate suspension or revocation, PSSG will provide written notice and a 10-day period to cure the breach before suspending or revoking Certification.

8. Intellectual Property

PSSG owns the Marks, the protocol, the book Building on Solid Ground, training materials, and all related content. Contractor receives only the limited license in Section 2 and acquires no ownership. Contractor will not register or contest the Marks.

9. Disclaimer and Limitation of Liability

The certification, Directory, and materials are provided on an as-is basis without warranties of any kind. To the fullest extent permitted by law, PSSG will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits. PSSG's total liability under this Agreement will not exceed the fees Contractor paid to PSSG in the twelve months before the claim.

10. Indemnification

Contractor will defend, indemnify, and hold harmless PSSG and its officers, directors, and agents from any claim, damage, loss, or expense, including reasonable attorney fees, arising from Contractor's work, Contractor's PSIP Certificates, Contractor's use of the Marks or Leads, Contractor's misrepresentation of certification status, or Contractor's breach of this Agreement. This includes claims by a customer or third party that Contractor's concrete work failed or was defective.

11. Confidentiality

Each party will protect the other's non-public business information disclosed under this Agreement and use it only to perform under this Agreement.

12. Term and Termination

This Agreement begins on the Effective Date and continues while Certification is active. Either party may terminate as provided here or in the Billing and Refund Policy. Sections on what certification is not, IP, disclaimers, limitation of liability, indemnification, and confidentiality survive termination.

13. Governing Law and Disputes

This Agreement is governed by Tennessee law, without regard to conflict-of-law rules. Venue is the state or federal courts located in Robertson County, Tennessee. The binding arbitration and class action waiver provisions of the PSIP Terms of Service apply to disputes under this Agreement and are incorporated by reference.

14. Entire Agreement

This Agreement, with the Billing and Refund Policy, Privacy Policy, and Terms of Service, is the entire agreement between the parties on this subject and supersedes prior understandings. If any provision is unenforceable, the rest remains in effect.

15. Acceptance

By accepting at checkout or signing below, Contractor agrees to this Agreement.
